Operating Perspective. Understanding the clinical, regulatory, intellectual property, financial, and commercial risks from both Client and partner perspectives helps to identify and resolve issues early in the transaction process. We work closely with Management teams and Boards to ensure that we are fully aligned with the Client’s strategic objectives.

Optimal, Clear Strategy and Positioning. Aligning partnering strategy with the Client’s objectives is critical to achieving the desired transaction outcome. Positioning each asset properly the first time is essential to capturing the attention of prospective partners and maximizing transaction value. We typically present the asset(s) to the widest potential audience to gain market feedback and ultimately, facilitate a competitive process. We take a comprehensive approach to identifying prospective partners, and we clearly articulate to each partner why the asset(s) represents a potential fit.

For a buy-side or in-licensing assignment, rigorously defining and ranking the search variables at the outset will streamline the search, diligence and negotiations processes. Our work involves creating and prioritizing the criteria by which assets will be selected for internal evaluation. We also determine, based on precedent transactions, the appropriate range of terms for any given in-licensing candidate and adhere to those during the term sheet and contract negotiations discussions.

Deep Analytics. Combining thorough primary market research with sophisticated financial modeling and benchmarking against relevant industry comparable transactions ensures robust deal terms and a strong, well-supported negotiating position for our Clients. Evaluating investor returns using a proprietary, fully integrated valuation model is another unique element of a Locust Walk Partners engagement.

Strategic Insight. Because of our extensive life sciences industry experience, we understand how value is created; we apply our experience and strategic insights to help our clients achieve optimal transaction outcomes and strategic objectives. Frequently, we are asked to help develop and refine the strategic priorities of a Client as an input into their partnering strategy.
